SBA Equity Injection Requirements 2026

The rule is 10 percent on a full change of ownership. The funded mix is not always 10 percent. Here is the SOP floor, the 504 plant stack, and what happens when SBA is already used.

What is the SBA equity injection requirement in 2026?

On a complete change of ownership the floor is 10 percent of total project costs. SOP 50 10 8.1, effective October 1, 2026, says the lender cannot reduce or waive that floor.

Total project costs are not just the purchase price. They include working capital put in the loan, closing costs, and other costs required to finish the change of ownership. Size the 10 percent off that full number or the file is short before it starts.

Partner buyouts and expansions have different language. A full change of ownership is the case that most buyers mean when they ask about 10 percent down.

Unlimited sources versus limited sources

The new procedure splits equity into two buckets.

Unlimited sources can fund the whole required injection. Unborrowed cash. A personal loan to a guarantor that is repaid from a source other than the business. Qualifying grants with no clawback during the loan term.

Limited sources can cover no more than half of the required injection, even when stacked. Seller debt on full standby. Other standby debt. Non controlling minority equity, meaning under 20 percent ownership, no control, and no deal to take money out before the guaranty is released.

Worked number. $2,000,000 project. Required injection $200,000. Maximum from limited sources $100,000. The other $100,000 has to be an unlimited source. A seller note alone does not carry the down payment after October 1.

What 90 percent on an occupied plant actually is

An $8 million plant you occupy. 504 is $4 million bank, $3.2 million CDC, $800,000 in. Occupy 51 percent plus. Full personal guaranty. That is the 10 percent down story.

CDC second is capped near $5 million. Manufacturers can print $5.5 million on the second. July 4 opened combined 7(a) and 504 to $10 million. Two programs. Two ceilings. It is not one $10 million note.

If you already used 7(a) and still have 504 room, that is a file. If both are used, the next stack is conventional or conduit from $10 million with cash in about 35 percent. Do not send a maxed SBA file for another 90 percent.

What funded files actually put in

The SOP floor is not the same as the cash a special use file needs. One national SBA shop published industry, product, use, and equity on notes it funded in June and July 2026. That mix is a live box, not a slogan. Read the mix, not the headline. Clean 7(a) acquisition and refinance can print at the SOP floor. Special use CRE wants more skin. Ticket sizes in that window ran from a $484k pizza note to a $10.73M hotel 504.

How to screen a file before you burn a week

Start with the use. Acquisition plus working capital on an operating company is a different desk from hotel, gas, nursing, or boat and RV real estate.

Then source the cash. After October 1, map every dollar to unlimited or limited. If more than half of the 10 percent is a seller note or a silent partner, rebuild the stack now.

Then match product. 7(a) can wrap acquisition, working capital, and equipment in one note. 504 is the two note bank plus CDC structure on CRE and FFE. The funded tape used both. The product split is what made the equity number work.

If 7(a) is already on the books, ask whether 504 room is still open. July 4 decoupled the two programs up to $10 million combined. If both are used, stop. Do not send a maxed SBA file for another 90 percent.
